Samuel J. Carlson represents businesses in corporate and securities law matters, concentrating on mergers and acquisitions, strategic alliances, capital raising transactions, corporate governance, compliance and general corporate matters. With particular experience in the financial services, energy/commodities and general industrial sectors, her clients include Fortune 100 and 500 companies and leading financial institutions.
He advises both public and private companies in merger and acquisition transactions ranging from domestic mid-market transactions to multi-billion dollar multi-jurisdictional transactions. He also represents both issuers and underwriters in connection with all types of securities offerings ranging from initial public offerings of common stock to billion dollar public offerings of investment grade debt. In addition, his experience extends to advising on complex international restructuring and separation/spin-off transactions.
Samuel also counsels clients on corporate governance, executive compensation and securities law compliance matters, including stock exchange rules, the governance and securities law compliance aspects of Dodd-Frank, the Sarbanes-Oxley Act and related regulations, and other state corporate and securities laws issues. He has been recognized by numerous independent commentators as a leading corporate advisor, including being named by Chambers USA as a leader in the field of Corporate Mergers & Acquisitions and by SmartCEO Magazine as among the Legal Elite in New York.
